For the purpose of expanding the membership of the Board of Finance; establishing terms for appointed members of the Board; providing for the election of a Chair and Vice-Chair; establishing rules for quorum and voting; and submitting this amendment to the qualified voters of the City for adoption or rejection.

Section 1. Be it resolved by the Mayor and City Council of Baltimore, That the City Charter is proposed to be amended to read as follows:

Article VII. Executive Departments
§ 20. Board of Finance: Composition.
(a) Members; Designees; Salary.
(1) The Board shall consist of [five] 7 members:
(i) the [Mayor,] Mayor;
(ii) the [Comptroller,] Comptroller;
(iii) the President of the City Council;
(iv) the City Solicitor; and
(v) [three members; who shall be appointed, must be confirmed, and shall serve, pursuant to Article IV, Section 6] 3 members, each of whom shall be appointed to the Board separately by the Mayor, the Comptroller, and the President of the City Council.
(2) The following members may select a designee to serve on the Board in their place when the member is unavailable:
(i) the Mayor;
(ii) the Comptroller;
(iii) the President of the City Council; and
(iv) the City Solicitor.
(3) [(2)] City officials serving on the Board shall not receive any additional salary for
such membership.
(b) Terms.
The terms of the 3 appointed members shall expire on the last day of the year in which the term of the Mayor begins pursuant to Article IV, § 1 {“Election, term, etc.”}.
(c) [(b) President; Mayor’s designee] Officers; Quorum; Voting; etc
[The Mayor shall serve as the President of the Board.]
[The mayor may designate a representative to represent the mayor in the Mayor’s absence. In that event, the Board’s Vice President shall exercise the powers of the Board President.]
(1) Chair.
The Chair of the Board shall be elected by a majority vote of the Board from among the 3 members appointed under subsection (a)(1)(v) of this section.
(2) Vice -Chair.
The Vice-Chair of the Board shall be elected by a majority vote of the Board from among the 3 members appointed under subsection (a)(1)(v) of this section.
(3) Quorum.
A majority of the members of the Board constitutes a quorum for the transaction of business.
(4) Voting.
An affirmative vote by the majority of a quorum is needed for any official action.
(5) Absence of the Chair.
In the event of the Chair’s absence, the Vice-Chair shall exercise the powers of the Board Chair.
(d) [(b)] Clerk.
The Board shall designate a clerk to the Board who shall keep its accounts and a record of its proceedings.
Section 2. And be it further resolved, That this proposed amendment to the City Charter be submitted to the legal and qualified voters of Baltimore City, for adoption or rejection, in accordance with Article XI-A, § 5 of the Maryland Constitution, in the form specified by the City Solicitor.
