Section 1. Be it resolved by the Mayor and City Council of Baltimore, That the City Charter is proposed to be amended to read as follows:

Article VI. Board of Estimates
§ 1. Establishment.
(a) In general.
(1) Members.
There shall be a Board of Estimates composed of the Mayor, President of the City Council, [Comptroller, City Solicitor, and Director of Public Works,] and Comptroller, none of whom shall receive any additional salary as members of the Board.
(2) Officers.
(i) The President of the City Council shall be President of the [Board, and one of the members shall act as Secretary.] Board.
(ii) The Comptroller shall act as Secretary of the Board.
(3) Staff.
The Board may employ such employees as may be necessary to discharge its duties; their number and compensation shall be fixed in the Ordinance of Estimates.
(b) Meetings.
(1) First meeting.
The first meeting of the Board in every year shall be called by notice from the Mayor or President of the City Council and personally served upon members of the Board. Subsequent meetings shall be called as the Board may direct.
(2) Quorum.
A quorum of the Board consists of all 3 members or the members’ designees, as permitted by this section.
(3) Rules of proceedings.
The Board shall adopt rules for the conduct of its proceedings, which may be modified or repealed by ordinance. The rules shall be in writing and when adopted shall be immediately filed in the office of the Board and shall be a public record. A copy of the rules and any amendments to the rules shall be filed with the Department of Legislative Reference.
(c) Representatives.
(1) In general.
If a member is unable to attend a Board meeting, that member’s representative, as designated [in the Charter,] below, may attend and exercise the powers of the member.
(2) Designated representatives.
(i) [The Mayor may designate a municipal officer or member of the Mayor’s personal staff to represent the Mayor and exercise the Mayor’s power at Board meetings in the Mayor’s absence.] The Mayor’s designee shall be the City Administrator.
(ii) The City Council President’s designee shall be the Vice President of the City Council.
(iii) The Comptroller’s designee shall be the Deputy Comptroller.
Section 2. And be it further resolved, That this proposed amendment to the City Charter be submitted to the legal and qualified voters of Baltimore City, for adoption or rejection, in accordance with Article XI-A, § 5 of the Maryland Constitution, in the form specified by the City Solicitor.
